Our firm is built on the premise of sustained, demonstrated competence.  We bring to bear our extensive Wall Street experience, tax expertise, and broad-based business knowledge on behalf of each client and in every transaction. We have represented clients in a variety of corporate and international corporate transactions, including mergers and acquisitions, sales and purchases of businesses, joint ventures, financings, private offerings, anti-takeover defenses, reorganization of a public company and establishment of offshore business entities. We have also advised clients on United States' Securities and Exchange Commission filings, the Uniform Commercial Code, securities, banking and investment laws.

We also assist our clients with tax audits, liens, levies, tax abatements, collection and other adverse enforcement measures initiated by federal, state or local taxing authorities.

Our Clients
We have represented a wide range of clients over several years - from private individuals and new entrepreneurs, to publicly traded business entities. For many of our clients, our representation begins with advising them on the optimal form for their new businesses, in light of their particular tax and other strategic business considerations. We counsel those same businesses in making intermediate strategic business decisions and continue to serve as counsel through the more mature stages of their corporate existence.
